These Terms and Conditions ("Terms") govern your access to and use of the NigeriaTax Pro platform and services ("Service") provided by NigeriaTax Pro Limited ("we", "us", "our", "the Company"). By registering for, accessing, or using the Service, you ("Subscriber", "User") agree to be bound by these Terms. Please read these Terms carefully before using the Service. If you do not agree to these Terms, you must not access or use the Service.

1. Definitions

In these Terms, the following definitions apply:

  • "Platform" means the NigeriaTax Pro web application, APIs, and all associated tools accessible at ngtaxpro.com and related subdomains.
  • "Tenant" means the subscribing organisation (tax firm, company, or enterprise licensor) that holds the primary subscription account.
  • "Client Entity" means a taxpayer entity managed within a Tenant's workspace, including companies, individuals, and non-resident entities.
  • "Authorised Users" means individuals granted access to the Platform by a Tenant, including Administrators, Managers, Supervisors, Tax Preparers, and Read-Only users.
  • "Tax Data" means financial records, payroll information, transaction data, tax computations, returns, and any other data entered into or processed by the Platform.
  • "Rev360-Ready Output" means tax returns and schedules produced by the Platform in the format specified by the Nigeria Revenue Service (NRS) for submission to the Rev360 portal.
  • "Nigerian Tax Law" means the Nigeria Tax Act 2025, the Nigeria Tax Administration Act 2025, the NRS Establishment Act 2025, the JRB Establishment Act 2025, the Petroleum Industry Act 2021, and all regulations, circulars and directives issued thereunder as amended from time to time.

2. Account registration and eligibility

2.1 You must be at least 18 years of age and have legal capacity to enter into a binding contract to register for the Service.

2.2 Tenants must be duly incorporated or registered entities, or individuals carrying on a lawful business in Nigeria or with Nigerian tax obligations.

2.3 You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

2.4 You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at security@ngtaxpro.com of any unauthorised use of your account.

2.5 We reserve the right to suspend or terminate accounts where we have reasonable grounds to believe registration information is false, inaccurate, or misleading.

3. Subscription plans and payment

3.1 The Service is offered on subscription plans as described on our pricing page at ngtaxpro.com/pricing, which may be updated from time to time with notice. Current pricing is available on request at hello@ngtaxpro.com.

3.2 Subscriptions are billed in advance on a monthly or annual basis as elected at the time of subscription. All fees are stated in Nigerian Naira (₦) unless otherwise agreed in writing.

3.3 Payment is due within 14 days of invoice date. Failure to pay within this period may result in suspension of access to the Service without further notice.

3.4 All fees are non-refundable except as expressly stated in these Terms or required by applicable law. No refund is payable for partial months of use following cancellation.

3.5 We reserve the right to revise pricing with 30 days' written notice to Tenant administrators. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

3.6 Enterprise licences and white-label arrangements are governed by a separate Enterprise Licence Agreement, which supplements these Terms.

4. Permitted use and restrictions

4.1 Subject to payment of applicable fees and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal tax compliance purposes.

4.2 You must not:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorised access to any part of the Platform or any system or network connected to it.
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Platform.
  • Reproduce, distribute, sell, resell, or sublicense access to the Service except as permitted under an Enterprise Licence Agreement.
  • Introduce malware, viruses, or other harmful code into the Platform.
  • Share login credentials between individuals — each Authorised User must have their own account.

5. Tax computation accuracy and disclaimer

Important: NigeriaTax Pro is a tax compliance tool, not a provider of tax advice. Computations produced by the Platform are based on Nigerian Tax Law as interpreted by our development team and are updated continuously. You remain solely responsible for the accuracy of all information entered and the correctness of all returns filed.

5.1 We make reasonable efforts to keep the Platform's computation logic current with Nigerian Tax Law, including all amendments to the NTA 2025, NTAA 2025, PIA 2021, and associated regulations.

5.2 We do not warrant that computations will be accepted without query by the NRS, SIRS, NUPRC, or any other regulatory body.

5.3 The five-stage approval workflow is a quality-control tool. Completion of this workflow does not constitute our approval of a return or guarantee of NRS acceptance.

5.4 We are not liable for any penalties, interest, surcharges, or other costs arising from errors in returns submitted to any tax authority.

6. Data ownership and licence

6.1 You retain full ownership of all Tax Data you enter into the Platform. We do not claim ownership of your Tax Data.

6.2 By using the Service, you grant us a limited licence to process your Tax Data solely to provide the Service to you.

6.3 We will not share your Tax Data with third parties except as described in our Privacy Policy or as required by law.

6.4 Upon termination, you may request an export of your Tax Data within 30 days. After 90 days from termination, we may delete your Tax Data in accordance with our data retention policy.

7. Integrations and third-party services

7.1 The Platform integrates with QuickBooks Online, Sage Business Cloud, Zoho Books, and enterprise ERPs. These integrations are subject to the terms of the respective third-party providers.

7.2 We are not responsible for the accuracy of data imported from third-party systems. You must verify imported data before submitting any return.

7.3 Third-party accounting systems may use tax codes that predate Nigerian Tax Law. The Platform re-classifies imported transactions against current NTA/NTAA rules; you must review reclassified transactions before approving any return.

7.4 Rev360-ready output is structured for NRS submission. Successful NRS acceptance is outside our control.

8. Confidentiality

Each party agrees to keep confidential all non-public information of the other party and to use it only for the purposes of these Terms. Confidentiality does not apply to information that is publicly available, was known before disclosure, or must be disclosed by law.

9. Intellectual property

The Platform, its software, design, and computation logic (excluding your Tax Data) is our exclusive intellectual property. The NigeriaTax Pro name and logo are our trademarks. Enterprise white-label licensees may use agreed brand marks under their Enterprise Licence Agreement only.

10. Availability and service levels

We aim for 99.5% monthly Platform availability. Starter and Professional plan subscribers receive standard email support. Enterprise subscribers receive dedicated support per their Enterprise Licence Agreement.

11. Limitation of liability

To the maximum extent permitted by Nigerian law, our total liability shall not exceed the total fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

12. Indemnification

You agree to indemnify NigeriaTax Pro Limited against any claims arising from your use of the Service, your violation of these Terms, or any return submitted using Platform output.

13. Termination

You may cancel at any time via account settings. We may suspend access immediately for breach of these Terms, non-payment, or suspected illegal use. Data export is available for 30 days post-termination.

14. Governing law and dispute resolution

These Terms are governed by Nigerian law. Disputes shall be resolved by mediation then arbitration in Lagos, Nigeria under the Arbitration and Conciliation Act.

15. General

These Terms, with our Privacy Policy, Security Policy, and any Enterprise Licence Agreement, constitute the entire agreement. We may update these Terms with 30 days' notice to Tenant administrators.
